Villa120: Allregistered Guests staying at the Villa/property will be provided with acontinental breakfast during the hours of 8:30am -10:30am. ContinentalBreakfast will include, but not limited to basic breakfast such as toast, assortedpastries, bagels, fruit, yogurt, coffee tea and juice. Breakfast upgradesand serving times outside the policy guidelines are available for an additionalcost. All outdoor music andentertainment activity must comply in accordance with the rules and regulationswith the town of Middletown. Check-intime: 3:00pm ESTCheck-outtime: 11:00am EST
Cleaning Fee: Each Room is charged a $50.00 cleaning fee per room reservation
Security:The HamiltonHoppin House requires the Client to hire licensed security detail to handletraffic, parking and security. The securitypersonal is required to be present one hour (sixty minutes) in advance andremain 1 hour (sixty minutes) after the event or until all non-registered guestshave left the Hamilton Hoppin House property and the cost of this service isthe responsibility of the guest.
Restrooms:It isthe responsibility of the Client to provide portable restrooms for parties over50 people of more.
Fees forAdditional ServicesThe Hamilton Hoppin House provides a variety of additionalservices not specifically described in this contract, which are available togroups and individuals at an additional cost. Pricing for these facilities andservices are listed in the attached Hotel Policies and Procedures; if notlisted, pricing information can be provided to individual guests upon request.
Terms & Conditions
Force Majeure:The performance of this Agreement by either party is subject toacts of God, government authority, natural disaster, pandemics, acts of terror,war, or other emergencies, any of which make it illegal or impossible toprovide the facilities and/or services for the Client’s Event. It isprovided that this Agreement may be terminated for any one or more of suchreasons by written notice from one party to the other without liability.
Insurance:It is highly recommended, but not mandatory that Client shallobtain insurance in amounts sufficient to provide coverage for any liabilitieswhich may reasonably arise out of or result from Client’s obligations pursuantto this contract.
Indemnification:The Client hereby agrees to indemnify, defend and hold harmlessthe Inn from any loss, liability, costs or damages arising from actual orthreatened claims or causes of action resulting from the gross negligence orintentional misconduct of the Client or its respective officers, directors,employees, agents, members or participants, provided that with respect toofficers, directors, employees, and agents, such individuals are acting withinthe scope of their employment or agency, as applicable.
Affirmative Action:The Inn is an equal opportunity employer. Americans with Disability ActBoth the Client and the Inn shall be responsible for compliancewith the public accommodation requirements of the Americans with DisabilitiesAct as defined by law. The Inn shall provide, to the extent required bythe Act, such auxiliary aids and/or services as may be reasonably requested byClient for use in sleeping rooms and public areas of the hotel, provided thatClient gives reasonable advance written notice to the Inn of such needs. Client shall be responsible for the cost of any aids and/or services (includingengagement of and payment to specialized service providers, such as signlanguage interpreters), necessary for use in the spaces used by Client, otherthan those types and quantities typically maintained by the Inn. Due to the Inn’s historic status, the Inndoes not provide handicapped access.
Arbitration:Any controversy, claim or dispute arising out of or relating tothis Agreement shall be resolved through non-binding mediation and/or bindingarbitration conducted in accordance with the rules of the American ArbitrationAssociation or JAMS for the State of Rhode Island in which the Inn islocated. The law of the State of Rhode Island will be the governinglaw. The arbitration award will be enforceable in any state or federalcourt. In any arbitration or court proceeding, the prevailing party shallbe entitled to recover reasonable attorney’s fees and costs. In addition,Client shall be responsible for payment of attorney’s fees and interestassociated with the Inn’s efforts to collect monies owed under the terms ofthis Agreement.
Compliance:Client agrees to comply with all applicable United States federal,state, and local laws governing the Agreement and Event.
Notice:Any notice required or permitted by the terms of this contractmust be in writing. Notice may be sent via registered mail or email andwill be considered effective as of the date and time of the confirmation oftransmission.
Waiver:If either party agrees to waive its right to enforce any term ofthis contract, it does not waive its right to enforce any other terms of thiscontract.
Promotional ConsiderationsThe Inn has the right to review and approve any advertisements orpromotional materials, on-line or in print in connection with Client’s functionthat specifically references any name or logo of the Hamilton Hoppin House.
Security:The Inn has no insurance provided for Client and is notresponsible for any loss or damage to Client’s property. If required, inthe sole judgment of the Inn to maintain adequate security measures in light ofthe size and/or nature of the Event function, Client will provide, at Client’sexpense, security personnel supplied by a reputable licensed guard or securityagency doing business in the Town of Middletown, Rhode Island, which agency willbe subject to Inn’s prior approval. For the safety of persons andproperty, no fireworks or other incendiary devices may be used at the Innproperty. Client agrees to comply with all applicable federal, state, andlocal laws, including health and safety codes and federal anti-terrorism lawsand regulations including all provisions of the Patriot Act and regulations ofthe United States Department of Homeland Security and the Office of ForeignAssets Control. Client agrees to cooperate with the Inn and any relevantgovernmental authority to ensure compliance with such laws.
